Terms of Service

WIZUP is the product name for an AI-native product studio, operated publicly as VIBEJAM DIGITAL, a registered business name in Kenya (business number BN-ZWSAMKE7). By using the Services, creating an account, or clicking an acceptance control, you agree to these Terms and the Privacy Policy. If you use WIZUP for an organisation, you represent that you can bind that organisation. If mandatory consumer law gives you rights these Terms cannot remove, those rights continue to apply.

WIZUP is intended for people aged 18 or older. It is not directed to children. Do not use the Services if you cannot legally enter this agreement or if doing so would violate a law or restriction that applies to you.

WIZUP may provide opportunity research, idea discovery, strategy, writing and editing assistance, visual creation, product assembly, sales assets, storefront preparation, workflow assistance, saving and managing work, collaboration, and publication preparation. Features are available only when WIZUP makes them available and may evolve over time. Internal systems and agent names are not part of the public service promise.

WIZUP does not guarantee revenue, sales, customers, traffic, rankings, profit, funding, product-market fit, virality, publication, or commercial success. Research signals, scores, examples, recommendations, and generated materials are decision-support information, not a promise or professional advice.

Provide accurate information, protect credentials, and promptly report suspected unauthorized access. You are responsible for activity under your account except to the extent applicable law says otherwise. WIZUP may require reasonable verification to protect accounts and rights requests.

You retain applicable rights in content you submit or create. You represent that you have the rights and lawful basis needed to submit, process, and use it, including any personal data, third-party material, names, likenesses, voices, trademarks, and copyrighted work. You must not submit material you are not allowed to process.

You grant WIZUP the limited rights reasonably necessary to host, store, process, transmit, display privately to you, transform, and generate requested outputs from your content, and to operate, secure, and improve the Services as described in the Privacy Policy. This licence does not transfer ownership of your content and ends when the relevant processing ends, subject to backups, legal records, and legitimate operational needs.

AI systems are probabilistic. Outputs may be wrong, incomplete, outdated, biased, similar to other outputs, or unsuitable for your situation. Review, edit, fact-check, and rights-clear outputs before publishing, selling, or relying on them. WIZUP does not guarantee uniqueness, copyrightability, non-infringement, fitness, or availability of any output. Do not use output as a substitute for qualified legal, medical, financial, tax, investment, or regulatory advice.

Subject to these Terms, applicable law, third-party rights, and the rights of the providers or sources involved, you may use output created for your account for your lawful purposes. WIZUP does not promise that you own every element of an output or that an output is exclusive. WIZUP retains its software, code, models, orchestration, workflows, templates, design system, brand, interfaces, methods, and platform functionality. Your use of output must not copy or expose that background IP beyond what the Services permit.

Public information may be researched where legally permitted for research or opportunity analysis. Researching, referencing, analysing, or internally modelling public material does not create authorship, approval, endorsement, sponsorship, partnership, licence, agency, employment, representation, or affiliation. You must not deceptively impersonate a person, falsely claim that someone authored or approved content, publish ghostwritten work under another person’s identity without authority, clone a voice or likeness unlawfully, create false endorsements, dox someone, or misuse name, image, voice, persona, reputation, publicity, privacy, copyright, or trademark rights.

Do not use WIZUP for illegal activity, fraud, malware, harassment, unlawful hate or abuse, deceptive impersonation, privacy violations, infringement, spam, security attacks, automated abuse, circumvention, unauthorized scraping, reverse engineering where enforceable, or content regulated in a way the Services cannot lawfully support. Do not attempt to disrupt the platform or access another user’s work.

WIZUP currently offers Paystack and NOWPayments for one-time digital purchases. WIZUP does not currently offer recurring subscription charges or automatic renewals. Paystack receives checkout email, amount, currency, reference, and product/order metadata. NOWPayments receives invoice amount, currency, order description and identifier, success/cancel URLs, and IPN details, and reports payment status and references. For crypto, supported assets and networks, fees, exchange rates, confirmations, and settlement depend on the provider and blockchain. A blockchain transfer may be irreversible and a provider refund may be technically unavailable or require fees, identity checks, or a new wallet destination.

WIZUP uses a conservative one-time digital-purchase policy. A one-time digital purchase is generally not refundable after the digital service or delivery has materially begun, subject to mandatory consumer withdrawal or digital-content rules. WIZUP will consider a duplicate charge, billing error, captured payment without delivery, material delivery failure, provider error, or other legally required remedy. Refund requests may be made to the contact email with the order/reference details. Crypto refunds are subject to the provider’s technical ability, network conditions, fees, and applicable law; WIZUP does not promise blockchain reversal. Nothing here removes non-waivable consumer rights.

A separate partnership, production, licensing, revenue-share, or publishing agreement with a selected creator is not an ordinary self-service subscription. That signed agreement controls if it conflicts with these general Terms. A public profile, research result, or partnership enquiry does not itself create a partnership or permission to use a creator’s identity.

WIZUP may depend on hosting, authentication, database, Google Vertex/Gemini AI, Tavily research, Paystack, NOWPayments, email, and other third-party services. WIZUP uses each provider only for the relevant feature and remains responsible for obligations the law places on it. Third-party services have their own terms and availability. WIZUP does not use private project content to train a general-purpose WIZUP model.

Features may be added, changed, suspended, or discontinued. WIZUP does not promise uninterrupted availability, error-free operation, or preservation of every feature. WIZUP will consider contractual and mandatory consumer obligations when making material changes.

WIZUP may suspend or terminate access for security, fraud, abuse, legal requirements, material Terms violations, or a serious risk to the platform or other people. You may stop using the Services at any time. On termination, access may end and content may become unavailable subject to export, deletion, legal retention, backups, and the technical features actually offered. Clauses intended to survive termination continue.

Use any export or download feature made available in the product. If no export feature exists for a particular data type, request access or a copy through the privacy route. WIZUP does not promise indefinite storage or recovery after account closure.

To the maximum extent allowed by law, the Services and outputs are provided on an as-available basis and without promises beyond those expressly made in these Terms. This does not exclude warranties, rights, or remedies that cannot legally be excluded or limited.

To the fullest extent permitted by Kenyan law, WIZUP is responsible for direct loss that is reasonably foreseeable and directly caused by WIZUP’s breach of these Terms, negligence, or failure to provide the Services with reasonable care and skill. WIZUP is not responsible for indirect or consequential loss, or for loss of profit, revenue, goodwill, business opportunity, or data, except where applicable law does not permit that exclusion. WIZUP is not responsible for a failure caused by events outside its reasonable control, your content or conduct, or a third-party service, except where mandatory law makes WIZUP responsible. Nothing in these Terms excludes or limits a consumer right, remedy, warranty, or liability that cannot lawfully be excluded or limited, including rights and remedies under the Consumer Protection Act, 2012, or liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

To the extent enforceable and subject to consumer-law limits, a business user may be required to defend or reimburse WIZUP for third-party claims arising from unlawful inputs, rights infringement, identity misuse, unauthorized publication, or violation of acceptable-use rules. Consumer carve-outs and mandatory rights apply.

These Terms are governed by the laws of Kenya, subject to mandatory consumer and local-jurisdiction rights. Ordinary disputes may be brought before the courts of competent jurisdiction in Nairobi, Kenya. This clause does not require arbitration or waive a class or representative remedy, and it does not limit a forum or remedy that mandatory law gives a consumer.

You agree that notices may be provided electronically where lawful. These Terms, the Privacy Policy, and any applicable order or partnership agreement form the relevant agreement. If a provision is unenforceable, the remainder continues; a waiver must be intentional; assignment is limited by law; and these Terms do not create employment, agency, or partnership.

WIZUP may update these Terms when the Services or law changes. Material changes may require notice or affirmative acceptance rather than silent posting. Questions and notices belong at wizuplive@gmail.com.
